The Agreement and Plan of Merger, dated as of January 30, 2008, by and among Audible, Inc. (the “Company”), Amazon.com, Inc. and AZBC Holdings, Inc. was filed on February 5, 2008, as Exhibit 2.1 to the Company’s Current Report on Form 8-K and is incorporated herein by reference.
