Departure of Director and Officer
On October 31, 2023, Mr. Chenjun Li tendered his resignation
as the Chairman of the Board, a director and the Co-CEO of AGM Group Holdings Inc. (the “Company”), effective October 31,
2023. Mr. Li’s resignation was not the result of any disagreement with the Company’s operations, policies or procedures.
The resignation of Mr. Li
has been approved by the Nominating Committee, the Compensation Committee and the Board of Directors of the Company.
