EXPLANATORY NOTE
This Registration Statement on Form
S-8
is filed by Melinta Therapeutics, Inc. (the Company) to register
(i) 1,871,028 shares of the Companys common stock, par value $0.001 per share (the Common Stock), which may be issued pursuant to, and in accordance with the terms and conditions of, the Companys 2018 Stock Incentive
Plan (as amended and restated, the Plan), and (ii) 100,000 shares of Common Stock, which may be issued pursuant to the option and restricted stock unit inducement grants made to the Chief Commercial Officer of the Company, Timothy
Simon, in accordance with the provisions set forth in the certain offer letter by and between the Company and Timothy Simon, dated January 22, 2019, and the inducement grant exception under NASDAQ Listing Rule 5635(c)(4), in each case, as
adjusted to reflect the
one-for-five
reverse stock split that was effected on February 22, 2019. The shares registered for issuance pursuant to the Plan consist of
(i) 448,162 shares of Common Stock that were added to the shares reserved under the Plan on January 1, 2019, pursuant to an evergreen provision contained in the Plan; (ii) 1,000,000 shares of Common Stock that were added
to the shares reserved under the Plan on February 19, 2019, pursuant to the amendment and restatement of the Plan approved by the Companys stockholders on such date (including 400,000 shares of Common Stock that were reserved specifically
for issuance to the Chief Executive Officer of the Company, John H. Johnson (Johnson)); and (iii) 422,866 shares of Common Stock representing shares that may become available for issuance under the Plan and shares that have become
available for issuance under the Plan as of May 1, 2019, in each case, as a result of awards that are or were outstanding under the Companys 2011 Equity Incentive Plan, as amended and restated, that may expire or have expired or may be or
have been canceled, forfeited, settled in cash or otherwise terminated without delivery to the grantee of the full number of shares to which the awards relate or related. Pursuant to the evergreen provision in the Plan, on January 1st of
each year through January 1, 2021, the number of shares of Common Stock reserved for issuance under the Plan is automatically increased by an amount equal to the lesser of: (i) 4% of the total number of shares of Common Stock outstanding
on December 31st of the preceding fiscal year, and (ii) such lesser number of shares of Common Stock determined by the compensation committee of the Companys board of directors. In addition, if any of the 400,000 shares of Common Stock
specifically reserved for Johnson are forfeited by Johnson, such forfeited shares shall no longer be reserved and available for issuance under the Plan, and the total number of shares reserved and available for issuance under the Plan shall be
reduced accordingly.

Indemnification of Directors and Officers

Section 145 of the Delaware General Corporation Law (the DGCL) provides, in effect, that any person made a party to any action by reason of
the fact that he is or was a director, officer, employee or agent of the Company may and, in certain cases, must be indemnified by the Company against, in the case of a
non-derivative
action, judgments, fines,
amounts paid in settlement and reasonable expenses (including attorneys fees) incurred by him as a result of such action, and in the case of a derivative action, against expenses (including attorneys fees), if in either type of action he
acted in good faith and in a manner he reasonably believed to be in or not opposed to the best interests of the Company. This indemnification does not apply, in a derivative action, to matters as to which it is adjudged that the director, officer,
employee or agent is liable to the Company, unless upon court order it is determined that, despite such adjudication of liability, but in view of all the circumstances of the case, he is fairly and reasonably entitled to indemnity for expenses, and,
in a
non-derivative
action, to any criminal proceeding in which such person had reasonable cause to believe his conduct was unlawful.
Section 145 of the DGCL (Section 145) also gives a corporation power to indemnify any person who was or is a party or is threatened to
be made a party to any threatened, pending or completed action or suit by or in the right of the corporation to procure a judgment in its favor by reason of the fact that the person is or was a director, officer, employee or agent of the

court in which such action or suit was brought shall determine upon application that, despite the adjudication of liability but in view of all the circumstances of the case, such person is fairly and reasonably entitled to indemnity for such
expenses which the Court of Chancery or such other court shall deem proper. Section 145
further provides that, to the extent that a present or former director or officer of a corporation has been successful on the merits or otherwise in defense of any such action, suit or
proceeding, or in defense of any claim, issue or matter therein, such person shall be indemnified against expenses (including attorneys fees) actually and reasonably incurred by such person in connection therewith.
Section 145 also authorizes a corporation to purchase and maintain insurance on behalf of any person who is or was a director, officer, employee or agent
of the corporation, or is or was serving at the request of the corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise, against any liability asserted against him and
incurred by him in any such capacity, arising out of his status as such, whether or not the corporation would otherwise have the power to indemnify him under Section 145.
The Companys certificate of incorporation provides that no director of the Company shall be liable to the Company or its stockholders for monetary
damages for breach of fiduciary duty as a director to the fullest extent permitted by the DGCL.
The Companys certificate of incorporation also
provides that the Company has the power to indemnify to the fullest extent permitted by Delaware law any and all of its current and former directors, officers, employees or agents, or any person who may have served at the Companys request as a
director, officer, employee or agent of another corporation, partnership, joint venture, employee benefit plan, trust or other enterprise.
All of the
Companys directors and officers are covered by insurance policies maintained by the Company against certain liabilities for actions taken in their capacities as such, including liabilities under the Securities Act.
