Item 2.02 Results of Operations and Financial Condition.
On September 5 2024, UiPath, Inc. (“UiPath” or the “Company”) issued a press release announcing its financial results for the fiscal second quarter 2025. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation of Certain Officers.
Appointment of New Board Member
On August 30, 2024, the Board of Directors (the “Board”) of the Company increased the size of the Board from eight to nine members and appointed Mr. Sivaramakichenane Somasegar as a director of the Company to fill the resulting vacancy, effective September 5, 2024. Mr. Somasegar, age 58, also has been designated as a member of the Nominating and Corporate Governance Committee of the Board. The Board has determined that Mr. Somasegar qualifies as an independent director under New York Stock Exchange listing standards.
Mr. Somasegar currently serves as a Managing Director at Madrona Ventures, an early stage venture capital firm. Prior to joining Madrona, Mr. Somasegar built a career at Microsoft over nearly three decades, where he led the company’s Developer Division responsible for the Visual Studio and .NET family of products that are the core building blocks for tens of millions of developers to build applications. Mr. Somasegar also led the development of Microsoft’s R&D labs in Boston, Canada, China, India, and Israel. Mr. Somasegar holds a master’s degree in computer engineering from Louisiana State University and a bachelor’s degree in electronics and communication engineering from Guindy Engineering College, Anna University in Chennai, India. Mr. Somasegar also received an Honorary Doctorate from Anna University for accomplishments in Technology and Computer Science.
Mr. Somasegar will receive compensation pursuant to our non-employee director compensation policy, as described in the “Non-Employee Director Compensation Policy” section of the Company’s definitive proxy statement for the 2024 Annual Meeting of Shareholders filed with the U.S. Securities and Exchange Commission (the “SEC”) on May 9, 2024.
There is no arrangement or understanding between Mr. Somasegar and any other persons, pursuant to which he was selected as a director. Mr. Somasegar has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
Appointment of Chief Operating Officer
On August 30, 2024, the Board appointed Ashim Gupta, age 45, the Company’s Chief Financial Officer, as Chief Operating Officer, effective September 5, 2024 (the “Effective Date”). Mr. Gupta will continue to serve as the Company’s Chief Financial Officer.
Mr. Gupta has served as the Company’s Chief Financial Officer since November 2019. Mr. Gupta served as our Chief Customer Success Officer from February 2018 to November 2019. Prior to joining the Company, Mr. Gupta served in various roles at General Electric Company from January 2000 to February 2018, including most recently as Senior Vice President and Chief Information Officer for Finance and Global Operations from March 2016 to February 2018, and as Chief Financial Officer of GE Water from August 2013 to March 2016. Mr. Gupta holds a B.A. from Rutgers University.
Following the Effective Date, Mr. Gupta, in his expanded role as Chief Operating and Financial Officer, will receive a base salary of $600,000 (increased from $500,000) and will be eligible to receive an annual performance-based cash bonus with a target opportunity of 80% of his base salary (increased from 65%).
There are no family relationships between Mr. Gupta and any director or executive officer of the Company and he has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.

Stock Repurchase Program
On August 30, 2024, the Board of Directors of the Company authorized an additional $500.0 million of repurchases of our outstanding shares of Class A common stock under the stock repurchase program. Repurchases under the program may be effected through open market purchases, privately-negotiated transactions, or otherwise in accordance with applicable federal securities laws, including through Rule 10b5-1 trading plans and under Rule 10b-18 of the Securities Exchange Act of 1934, as amended. The timing and actual number of shares repurchased will depend on a variety of factors, including price, general business and market conditions, and alternate uses of capital. The current authorization may be suspended or discontinued at any time and does not have a specified expiration date.

NEW YORK, NY – September 5, 2024 – UiPath, Inc. (NYSE: PATH), a leading enterprise automation and AI software company, today announced financial results for its second quarter fiscal 2025 ended July 31, 2024.
“We are pleased with our second quarter results, with ARR growing 19 percent year-over-year, a testament to the team's improved execution and the compelling value that our AI-powered automation platform delivers to our customers,” said Daniel Dines, UiPath Founder and Chief Executive Officer. “Our conversations with customers and partners deepen our conviction that there is an increasing need for AI and automation, and our unwavering commitment to innovation continues to position us as the automation platform of choice for capturing the opportunities that AI brings to an enterprise. Second Quarter Fiscal 2025 Financial Highlights
Revenue of $316 million increased 10 percent year-over-year.
ARR of $1.551 billion increased 19 percent year-over-year.
Net new ARR of $43 million.
Dollar based net retention rate of 115 percent.
GAAP gross margin was 80 percent.
Non-GAAP gross margin was 83 percent.
GAAP operating loss was $(103) million.
Non-GAAP operating income was $6 million.
Net cash flow from operations was $46 million.
Non-GAAP adjusted free cash flow was $49 million.
Cash, cash equivalents, and marketable securities were $1.7 billion as of July 31, 2024.

Stock Repurchase Program
UiPath, Inc. today announced that its Board of Directors has authorized an additional share repurchase program authorizing the Company to repurchase up to $500 million of its Class A common stock in a manner deemed in the best interest of the Company and its stockholders, taking into account the economic cost and prevailing market conditions, including the relative trading prices and volumes of the Class A shares. With the new authorization, the Company may repurchase, in aggregate, up to $554 million of its outstanding shares of common stock during the remainder of the programs. The repurchases are expected to be executed from time to time, subject to general business and market conditions and other investment opportunities, through open market purchases or privately negotiated transactions, including through Rule 10b5-1 trading plans and under Rule 10b-18 of the Securities Exchange Act of 1934, as amended.



Leadership Changes
In a separate release issued today, UiPath announced that Ashim Gupta will be taking on an expanded role as Chief Operating Officer in addition to his responsibilities as Chief Financial Officer, effective September 5, 2024. Mr. Gupta will continue to report to UiPath Chief Executive Officer Daniel Dines and will lead the Company’s operations and finance teams.
Financial Outlook
For the third quarter fiscal 2025, UiPath expects:
Revenue in the range of $345 million to $350 million
ARR in the range of $1.600 billion to $1.605 billion as of October 31, 2024
Non-GAAP operating income of approximately $27 million
For the fiscal full year 2025, UiPath is updating its guidance and expects:
Revenue in the range of $1.420 billion to $1.425 billion
ARR in the range of $1.665 billion to $1.670 billion as of January 31, 2025
Non-GAAP operating income of approximately $170 million
Reconciliation of non-GAAP operating income guidance to the most directly comparable GAAP measure is not available without unreasonable efforts on a forward-looking basis due to the high variability, complexity, and low visibility with respect to the charges excluded from this non-GAAP measure; in particular, the effects of stock-based compensation expense specific to equity compensation awards that are directly impacted by unpredictable fluctuations in our stock price. We expect the variability of the above charges to have a significant, and potentially unpredictable, impact on our future GAAP financial results.

UiPath Autopilot for Developers uses the power of GenAI and natural language processing (NLP) in UiPath Studio to create workflows, generate expressions, and help build automations.
UiPath Autopilot for Testers accelerates software testing by leveraging GenAI to refine and improve requirements, generate step-by-step tests from those requirements, and uses those tests to create coded automations.
UiPath plugin and integration with Copilot for Microsoft 365: Now in preview, the integration enables joint customers to automate end-to-end business processes with co-workers directly within Microsoft Teams.

Key Performance Metric
Annualized Renewal Run-rate (ARR) is a key performance metric we use in managing our business because it illustrates our ability to acquire new subscription customers and to maintain and expand our relationships with existing subscription customers. We define ARR as annualized invoiced amounts per solution SKU from subscription licenses and maintenance and support obligations assuming no increases or reductions in customers’ subscriptions. ARR does not include the costs we may incur to obtain such subscription licenses or provide such maintenance and support, and does not reflect any actual or anticipated reductions in invoiced value due to contract non-renewals or service cancellations other than for certain reserves, for example those for credit losses or disputed amounts. ARR does not include invoiced amounts associated with perpetual licenses or professional services. ARR is not a forecast of future revenue, which is impacted by contract start and end dates and duration. ARR should be viewed independently of revenue and deferred revenue as ARR is an operating metric and is not intended to replace these items.
Dollar-based net retention rate represents the rate of net expansion of our ARR from existing customers over the preceding 12 months. We calculate dollar-based net retention rate as of a period end by starting with ARR from the cohort of all customers as of 12 months prior to such period end (Prior Period ARR). We then calculate the ARR from these same customers as of the current period end (Current Period ARR). Current Period ARR includes any expansion and is net of any contraction or attrition over the preceding 12 months but does not include ARR from new customers in the current period. We then divide total Current Period ARR by total Prior Period ARR to arrive at dollar-based net retention rate. Dollar-based net retention rate may fluctuate based on the customers that qualify to be included in the cohort used for calculation and may not reflect our actual performance.
Investors should not place undue reliance on ARR or dollar-based net retention rate as an indicator of future or expected results. Our presentation of these metrics may differ from similarly titled metrics presented by other companies and therefore comparability may be limited.
Non-GAAP Financial Measures
Non-GAAP financial measures are financial measures that are derived from the consolidated financial statements, but that are not presented in accordance with generally accepted accounting principles in the United States (GAAP). UiPath Appoints S. Somasegar to its Board of Directors
Somasegar brings over three decades of experience building successful B2B and developer-led businesses to UiPath board
NEW YORK, NY, Sept. 5, 2024 – UiPath (NYSE: PATH), a leading enterprise automation and AI software company, today announced the appointment of S. “Soma” Somasegar, Managing Director at Madrona Ventures, to its Board of Directors effective Sept. 5, 2024.
As a seasoned technology executive, business leader, and investor, Soma brings decades of experience in growth management and fostering emerging technologies.
For the past decade, Soma has invested in technology companies that are reinventing the enterprise data stack and changing core workflows for enterprise companies and employees. His investments span a wide variety of technology areas, including automation, machine learning and artificial intelligence, next-generation cloud infrastructure, intelligent applications, and developer platforms and tools. At Madrona, Soma has helped lead investments in UiPath, Snowflake, Pulumi, Common Room, and Statsig, among other companies. He also currently serves as a board member with Pulumi, Seekout, Tigera, Bobsled, RelationalAI, Statsig, Rhythms, and Go1.
Prior to joining Madrona, Soma built a career at Microsoft over nearly three decades, where he led the company’s Developer Division responsible for the Visual Studio and .NET family of products that are the core building blocks for tens of millions of developers to build applications. Soma also led the development of Microsoft’s R&D labs in Boston, Canada, China, India, and Israel.

He is passionate about efforts to empower and educate girls around the world and supports women’s education and empowerment initiatives.

UiPath Chief Financial Officer Ashim Gupta Takes on Expanded Role as Chief Operating Officer
NEW YORK, NY, September 5, 2024 – UiPath (NYSE: PATH), a leading enterprise automation and AI software company, today announced Ashim Gupta will be taking on an expanded role as Chief Operating Officer in addition to his responsibilities as Chief Financial Officer. Gupta will continue to report to UiPath CEO and Executive Chairman Daniel Dines and will lead the company’s operations and finance teams. Gupta has been with UiPath since February 2018, joining as Chief Customer Success Officer before moving into the CFO role in late 2019. Prior to joining UiPath, Gupta spent nearly two decades at GE in various finance capacities. The expanded role is effective Sept. 5, 2024.
“During his tenure at UiPath, Ashim has helped to transform our company with his extensive financial and operational capabilities,” said Dines. “He has played a pivotal role in helping us to drive operational efficiencies across the business, while delivering long-term shareholder value and sustained growth at scale.
