Total Voting Rights and Director Share Options

In accordance with the FCA's Disclosure and Transparency Rule 5.6.1, the Company confirms that its issued share capital at 30 April 2021 consisted of 39,342,301 ordinary shares of 0.5p each ("Ordinary Shares").

The Company does not currently hold any Ordinary Shares in treasury. Therefore, the total number of voting rights in the Company is 39,342,301.

The above figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

The Company further confirms the lapse of 1,890 share options held by David Braben, CEO, under the Company's Sharesave Scheme, granted on 6 October 2017. Mr Braben, together with his spouse and immediate family, holds 32.8% of the issued share capital and total voting rights of the Company. As a consequence, Mr Braben did not exercise these share options before their expiry date of 1 May 2021 due to the restrictions under the City Code on Takeovers and Mergers.

Following this lapse of share options, Mr Braben retains 375,365 share options, representing 0.95% of the issued share capital of the company.
