Conversion of Loan Stock, Strategic Investment & PDMR
Dealing
Conversion of Loan Stock
The Board of Directors of the Company (the "Board") is pleased
to announce that Tintra Acquisitions Limited ("TAL") yesterday
issued a conversion notice in relation to GBP50,000 of its
convertible loan stock, convertible into 500,000 ordinary shares of
1 pence each ("Ordinary Shares") at a price of 10 pence per
Ordinary Share (the "Conversion Shares"). An application will be
made to admit to trading on AIM the Tintra Conversion Shares on or
around 30 September 2021 ("Admission").
Strategic Investment
The Board have been informed by TAL that it has sold 300,000
Ordinary Shares at 157p per Ordinary Share to Daniel Pittack, a
London-based strategic investor, which will result in him holding
2.36% of the Ordinary Shares (post Admission).
PDMR Dealing
The Board have also been informed by TAL that it has transferred
30,000 Ordinary Shares at nil cost to Portulaca Limited, a company
controlled by Kathy Cox, a non-executive director of the Company,
and has sold a further 10,000 Ordinary Shares.
Following Admission, the Shareholdings of the Board and
Significant Shareholders (as defined in the AIM Rules for
Companies) will be as follows, to the best of the Company's
knowledge:

1. John Cripps, a non-executive director of the Company, is the
sole shareholder of Tintra Acquisitions Ltd. This includes 15,000
Ordinary Shares held personally by Mr Cripps.
2. Includes Ordinary Shares held by Moorhen Limited and Pintail
Holdings Ltd, companies controlled by Mr Jackson and 33,333
Ordinary Shares held by Tilly Beazley, Mr Jackson's wife.
3. Includes Ordinary Shares held by Management Express Limited,
a company controlled by Mr Rose. Mr Rose is a subsidiary director
of the Group.

Total Voting Rights
On Admission, the Company will have 12,729,533 Ordinary Shares
in issue, each with one voting right. There are no shares held in
treasury. Therefore, the Company's total number of Ordinary Shares
and voting rights will be 12,729,533 and this figure may be used by
shareholders from Admission as the denominator for the calculations
by which they will determine if they are required to notify their
interest in, or a change to their interest in, the Company under
the FCA's Disclosure Guidance and Transparency Rules.
