RESULTS OF SCHEME

The Board of Troy Income & Growth Trust plc (the "Company") refers to the prospectus published by the Company on 22 October 2019 (the "Prospectus") in connection with the merger with Cameron Investors Trust plc ("CIT") to be effected by way of a scheme of reconstruction of CIT under section 110 of the Insolvency Act 1986, which will result in the voluntary liquidation of CIT (the "Scheme").

The Board is pleased to announce that, following the passing of the resolutions at the general meeting of CIT on 18 November 2019, the Company will, pursuant to the terms of the Scheme, acquire the net assets of CIT, being approximately GBP11 million, in consideration for the issue of New Shares to CIT Shareholders.

The number of New Shares to be issued was calculated based on a FAV per CIT Share of 1,075.99 pence and a FAV per Ordinary Share of 82.15 pence. Accordingly, CIT Shareholders will receive approximately 13.097849 New Shares for every CIT Share held by them and 13,647,942 New Shares in aggregate will be issued to CIT Shareholders by the Company.

Applications have been made for the New Shares to be admitted to the premium segment of the Official List of the Financial Conduct Authority and to trading on the main market for listed securities of the London Stock Exchange (together, "Admission"). It is expected that Admission will take place at 8.00am on 20 November 2019.

Following the issue of the New Shares noted above, the Company's share capital will consist of 317,231,987 Ordinary Shares (excluding treasury shares) with each Ordinary Share holding one voting right. As at 18 November 2019, there are no Ordinary Shares held in treasury.

The figure of 317,231,987 Ordinary Shares may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in voting rights, or a change to their interest in the Company, under the Disclosure Guidance and Transparency Rules.
