Director shareholding


Tops Estates PLC ("the Company") has today been notified pursuant to s.324
Companies Act 1985, that on 14 February 2003, Comet Investments Limited, a
company under the control of Everard Goodman, a director of the Company, has
acquired 49,903 ordinary shares of 25p each from the holding of his son at a
price of 199p per share.


Following this transaction, Everard Goodman has a beneficial interest in
21,833,179 ordinary shares and a non-beneficial interest in 102,821 ordinary
shares representing 48.14% and 0.23% respectively of the existing issued share
capital of the Company.
