Pursuant to paragraph 3.1.4R(1) of the Disclosure Rules, Minerva plc (the "Company") hereby discloses that, on 6 July 2011, the Company received notification from Oliver Whitehead, Chairman of the Company, that on that date he transferred 70,000 ordinary shares of 25 pence each in the capital of the Company to his spouse for nil consideration.
