On 28 March 2024, Riverstone Energy Limited
(the "Company") acquired 15,047,619 of
the Company's ordinary shares (the "Shares"), pursuant to the
tender offer announced on 23 February 2024 (the "Tender Offer").
All Shares repurchased by the Company have been cancelled.
Each Share acquired by the Company in the Tender Offer was
purchased at the Tender Price of £10.50 per Share.
Payment to shareholders of the Tender Offer
consideration will be despatched shortly .
Terms used in this announcement shall have the
same meaning as set out in the Company's circular in respect of the
Tender Offer dated 23 February 2024 (the "Circular").
In accordance with DTR 5.6.1R, the Company
notifies the market of the following:
As at 31 March 2024, the Company's total issued
share capital consists of 27,148,170 Shares of no par value. The
Company does not hold any Shares in treasury.
Accordingly, the total number of Shares in the
Company, each with equal voting rights, is currently
27,148,170.
This total voting rights figure can be used by
shareholders as the denominator for the calculations by which they
will determine whether they are required to notify their interest,
or a change to their interest, in the Company under the FCA's
Disclosure Guidance and Transparency Rules.
