                     Final exercise of Subscription Shares 
 
The Throgmorton Trust PLC (the "Company") announces that, in respect of the 
final exercise of Subscription shares, on the final exercise date of 31 October 
2011, 4,773,468 Subscription shares were exercised and as result, a total of 
4,773,468 ordinary shares will be allotted. Application will be made to the UK 
Listing Authority and to the London Stock Exchange for these new ordinary 
shares to be admitted to the Official List and to trading on the London Stock 
Exchange. 
 
2,143,121 Subscription shares have not been exercised. In accordance with the 
terms and conditions of the Subscription shares, the Company has appointed a 
trustee who, provided that in the trustee's opinion the net proceeds of sale 
(after deduction of all costs and expenses incurred) will exceed the costs of 
subscription, shall, on or before 14 November 2011, exercise all the 
unexercised rights of holders of Subscription shares and arrange for the sale 
of the resulting ordinary shares for the benefit of such holders. The trustee 
will then distribute the net proceeds to the persons entitled thereto, except 
that entitlements amounting to less than GBP5.00 shall be retained for the 
benefit of the Company. All rights attaching to Subscription shares which are 
not exercised by the trustee prior to 14 November 2011 shall lapse on that 
date. 
 
An application will also be made for any ordinary shares arising from the 
exercise by the trustee of Subscription Shares as described above. A further 
announcement will be made by the Company in due course confirming details of 
any exercise of the Subscription Shares by the trustee, admission date of any 
resulting ordinary shares and updating the issued share capital of the Company.
