(“SMART Modular”) (NASDAQ: SMOD) related to the buyout of SMART Modular by Silver Lake Partners and Silver Lake Sumeru.

On April 26, 2011, the companies announced a definitive agreement in which SMART Modular will be acquired by Silver Lake through a going private transaction valued at approximately $645 million. Under the proposed buyout, SMART Modular shareholders will receive only $9.25 in cash for each share of SMART Modular/SMOD common stock they hold. The transaction is expected to close in the third quarter of 2011.

The firms are investigating the fairness of the proposed transaction to SMART Modular shareholders and whether SMART Modular’s Board of Directors acted in the shareholders’ best interests. In particular, although the acquisition price represents an approximate 13% premium over SMART Modular’s closing price the day before the announcement, at least one analyst has set a target price as high as $11.00 per share. Further, SMART Modular recently reported positive financial results for the second quarter of 2011. Based these and other factors, the transaction may not be fair to shareholders. The firms are also investigating whether SMART Modular’s Board of Directors adequately considered all viable alternatives before entering into the agreement.
