ITEM 5.02

DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

On July 15, 2010, Robert Kramer resigned as a member of the Board of Directors of Quantum Solar Power Corp. (the “Company”). The Company believes Mr. Kramer resigned as a result of a dispute regarding his performance as a Director of the Company.

On July 16, 2010, Huitt Tracey resigned as a member of the Company's Board of Directors. Mr. Tracey resigned for personal reasons. There were no disagreements between Mr. Tracey and the Company regarding any matter relating to the Company’s operations, policies or practices.
