DIRECTOR'S INTEREST IN SHARES

On 22 December 2003, Lord Harris sold 60,000 Carpetright plc shares. On the same
date the Harris Ventures Directors' Pension Scheme ("HVDPS") purchased 60,000
shares. Both transactions were at 826p. As the HVDPS shares are deemed to be
part of Lord Harris' beneficial holding, Lord Harris' beneficial interest
remains unchanged at 13,810,923 shares (19.47%).
