OFFER FOR SUBSCRIPTION

Further to the announcement by Baronsmead VCT 5 plc ("the Company") on 6 February 2015, the Directors of the Company have been advised that, on the basis of subscription forms received as at close of business on 6 February 2015 the offer for subscription for new ordinary shares of 10p each in the Company to raise up to GBP3,750,000(before issue costs) is now fully subscribed (the "Offer").

The allotment of new ordinary shares under the Offer is expected to be on 24 February 2015. Dealings in the new ordinary shares are expected to take place three business days following allotment.
